Welcome to Wingbooks. These Terms and Conditions ("Terms") govern your access to and use of the Wingbooks service, including our website, applications, and all related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

By using our Service, you represent that you are at least 16 years of age. If you are under 16, you may not use the Service.

1. Service Description

Wingbooks provides an automated service that transforms audio and video content into professionally formatted books. Our Service includes:

  • Digital Book Creation: Transcription, formatting, and generation of digital books from your audio/video files
  • Preview Functionality: A free preview option that provides a sample of the first few pages based on your uploaded media files
  • Physical Book Printing: Optional printing and shipping of physical copies of your books

We use third-party artificial intelligence and transcription services to process your content. While we strive for accuracy, automated transcription may contain errors or inaccuracies. You are responsible for reviewing and editing the final output.

2. User Accounts

You may use certain features of our Service without creating an account. However, creating an account provides access to additional features and allows you to save and manage your projects.

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3. Intellectual Property & Content Ownership

3.1 Your Content

You retain all ownership rights to your content. Wingbooks claims no intellectual property rights over the audio, video, or text content you upload, or the books we create for you. All content you provide and resulting books belong solely to you.

3.2 License to Wingbooks

By uploading content to our Service, you grant Wingbooks a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and display your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or account.

3.3 Your Responsibilities

You are solely responsible for ensuring that any content you upload does not infringe on copyright laws, intellectual property rights, privacy rights, or any other applicable laws. By using Wingbooks, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to upload and process the content
  • Your content does not violate any third-party rights, including copyright, trademark, privacy, or other personal or proprietary rights
  • Your content complies with all applicable laws and regulations
  • You have obtained all necessary consents from individuals whose voices or images appear in your content

3.4 Wingbooks Intellectual Property

The Service, including its software, design, features, and functionality, is owned by Wingbooks and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

3.5 Copyright Infringement and User Liability

Wingbooks assumes no liability for copyright infringement or intellectual property violations arising from content uploaded by users. You are solely responsible for ensuring that you have all necessary rights and permissions to upload, process, and create derivative works from any content you submit to our Service.

Wingbooks shall not be held liable for any claims, damages, or legal actions resulting from:

  • Your upload or processing of content for which you do not own the intellectual property rights
  • Your creation or distribution of books containing copyrighted material that you are not authorized to use
  • Any copyright infringement claims brought by third parties related to your content
  • Your violation of any licensing agreements, rights of publicity, or other proprietary rights

By using our Service, you acknowledge that you bear full legal responsibility for the content you upload and any books you create or distribute. We strongly advise ensuring that you have obtained all necessary permissions and licenses before uploading any content to Wingbooks.

4. Acceptable Use Policy

You agree not to use the Service to upload, create, or distribute content that:

  • Infringes on intellectual property rights of others
  • Contains illegal, harmful, threatening, abusive, harassing, defamatory, or obscene material
  • Promotes violence, discrimination, or hatred against individuals or groups
  • Contains malware, viruses, or other harmful code
  • Violates privacy rights or data protection laws
  • Impersonates any person or entity, or misrepresents your affiliation
  • Is spam, unsolicited advertising, or promotional material

You also agree not to:

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without our permission
  • Reverse engineer, decompile, or attempt to extract source code from our Service
  • Resell or redistribute the Service without authorization

5. Payment Terms

5.1 Pricing Model

Wingbooks operates on a pay-per-use pricing model. We do not offer subscription plans. You pay only for the services you use, calculated based on the duration of audio/video content processed.

5.2 Digital Book Payments

Payment for digital book creation is required before processing begins. Current pricing is displayed on our website and may be updated from time to time. All prices are in the currency specified at checkout.

5.3 Physical Book Payments

For physical book orders, we collect payment for printing and shipping costs upfront before production begins. Payment must be completed before your order is processed.

5.4 Payment Processing

Payments are processed through secure third-party payment processors. We do not store your complete credit card information. By providing payment information, you authorize us to charge the applicable fees.

5.5 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all applicable taxes associated with your use of the Service.

6. Refund Policy

6.1 Digital Books

Due to the nature of our digital book creation service, fees are generally non-refundable. This includes cases where you are dissatisfied with transcription quality, formatting preferences, or other subjective quality assessments.

However, we will provide a full or partial refund in cases of:

  • Clear Processing Errors: If our system fails to process your content or produces an unusable output due to technical malfunction
  • Service Unavailability: If we are unable to complete your order due to service outages or technical issues on our end
  • Duplicate Charges: If you were charged multiple times for the same service

6.2 Physical Books

Physical book orders are also generally non-refundable once production has begun. We strongly recommend ordering a demo copy first to review the quality, formatting, and overall result before placing bulk orders.

Refunds or replacements for physical books may be provided in cases of:

  • Significant printing defects or damage during shipping
  • Errors in production that deviate from the digital preview
  • Lost or undelivered shipments confirmed by the carrier

7. Physical Book Orders

7.1 Production and Shipping Timeline

Physical books are typically sent within 15-20 business days from the date your order is placed and payment is confirmed. This timeframe refers to when we ship the book, not when you receive it.

7.2 Delivery Timeframe

We provide no guarantees regarding delivery timeframes. Once a book is shipped, delivery times depend on the shipping carrier and destination. We are not responsible for delays caused by customs, postal services, or other factors beyond our control.

7.3 Demo Copy Recommendation

We strongly recommend ordering a single demo copy first before placing bulk orders. This allows you to:

  • Review the physical quality, paper, and binding
  • Verify formatting and layout in printed form
  • Make any necessary adjustments before ordering multiple copies
  • Ensure the final product meets your expectations

7.4 Bulk Orders

Once you've reviewed your demo copy and are satisfied with the result, you may order multiple copies. Bulk order pricing and availability can be discussed by contacting our support team.

8. Data Processing & Third-Party Services

To provide our transcription and book creation services, we utilize third-party artificial intelligence, transcription, and cloud storage providers. Your content may be processed by these third-party services solely for the purpose of delivering the Service to you.

We carefully select service providers that maintain appropriate security and privacy standards. However, we are not responsible for the practices of third-party services. By using Wingbooks, you acknowledge and consent to your content being processed by third-party services as necessary to provide our Service.

Important: We do NOT use your content to train AI models, and we require our service providers to adhere to the same standard. Your content is processed solely to provide the services you request.

9. Content Retention & Deletion

9.1 Account Deletion

When you delete your account, all associated data—including uploaded files, transcriptions, and generated books—is permanently and immediately deleted from our servers. This deletion is irreversible. We recommend downloading any content you wish to keep before deleting your account.

9.2 Non-Payment

If payment for services is not received or is reversed, we reserve the right to delete all associated content and data from our servers. This deletion is permanent and cannot be recovered.

9.3 Data Retention Periods

For active accounts, your content is retained as specified in our Privacy Policy. It is your responsibility to download and back up your generated books and any other content you wish to preserve.

10. Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to:

  • Modify, suspend, or discontinue the Service (or any part thereof) at any time
  • Change pricing, features, or functionality with reasonable notice
  • Impose limitations on file sizes, storage, or usage
  • Perform scheduled and emergency maintenance

We will make reasonable efforts to notify users of significant changes or service interruptions, but we are not liable for any losses resulting from service unavailability or modifications.

11. Disclaimers and Limitation of Liability

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or quality of transcriptions
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties that defects will be corrected

11.2 Transcription Accuracy

Automated transcription technology is not perfect. Transcription accuracy depends on audio quality, accents, background noise, technical terminology, and other factors. We make no guarantees regarding transcription accuracy and recommend that you review and edit all transcribed content.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGBOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute services
  • Errors or inaccuracies in transcribed content
  • Unauthorized access to or alteration of your content
  • Interruption or cessation of the Service

IN NO EVENT SHALL WINGBOOKS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO WINGBOOKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

11.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wingbooks, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your violation of any rights of another party, including copyright infringement
  • Your content and its use by Wingbooks as authorized by these Terms
  • Your use or misuse of the Service
  • Your violation of applicable laws or regulations

This indemnification obligation will survive termination of these Terms and your use of the Service.

13. Term and Termination

13.1 Termination by You

You may stop using the Service and delete your account at any time. Upon deletion, your content will be permanently removed from our servers as described in Section 9.

13.2 Termination by Wingbooks

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Uploading prohibited or illegal content
  • Fraudulent or suspicious activity
  • Non-payment or payment disputes
  • Extended inactivity
  • Legal or regulatory requirements

13.3 Effect of Termination

Upon termination of your account or access to the Service:

  • Your right to use the Service immediately ceases
  • We may delete your content and account data
  • You remain liable for all charges incurred prior to termination
  • Sections of these Terms that by their nature should survive termination will continue to apply

14. Dispute Resolution & Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Our Service also complies with applicable European Union regulations, including the General Data Protection Regulation (GDPR).

14.2 Jurisdiction and Venue

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Verona, Italy. You irrevocably consent to the jurisdiction and venue of such courts.

14.3 Informal Resolution

Before filing any formal claim, we encourage you to contact us at [email protected] to seek an informal resolution. We are committed to working with users to resolve disputes in good faith.

14.4 EU Consumer Rights

If you are a consumer residing in the European Union, nothing in these Terms affects your statutory rights under EU consumer protection laws, including your right to seek resolution through alternative dispute resolution mechanisms.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or service offerings. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via email (if you have an account) or through a prominent notice on our website
  • Provide a reasonable period for you to review the changes before they take effect

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wingbooks regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by Wingbooks.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Third-Party Rights

These Terms do not confer any third-party beneficiary rights.

16.6 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict between the English version and any translation, the English version shall prevail.
